1. Acceptance of Terms
By accessing and using WATSNEX BioPharma's website and services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Description
WATSNEX BioPharma provides AI-powered solutions for life sciences including IT validation (MES, LIMS, ERP), FDA compliance consulting, commercial acceleration, data integrity frameworks, and digital transformation services. Service details, deliverables, and pricing are specified in individual service agreements.
3. User Obligations
You agree to provide accurate information, maintain the confidentiality of your account credentials, use our services in compliance with applicable laws including FDA regulations, not engage in any activities that could harm our systems or other users, and respect intellectual property rights.
4. Intellectual Property
All content, trademarks, and intellectual property on our website and in our services are owned by WATSNEX BioPharma or our licensors. Custom solutions developed for clients are subject to the terms of individual service agreements.
5. Payment Terms
Payment terms are specified in service agreements. Generally, payment is due upon invoice receipt unless otherwise agreed. Late payments may incur interest charges. We reserve the right to suspend services for non-payment.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of our business relationship. This is especially critical given the regulated nature of the life sciences industry. This obligation continues after termination of services.
7. Warranties and Disclaimers
We provide services using reasonable skill and care aligned with industry best practices for FDA-regulated industries. However, AI technologies and IT systems are subject to limitations. Services are provided 'as is' without warranties of specific outcomes. We do not guarantee that our services will be uninterrupted or error-free.
8. Limitation of Liability
To the maximum extent permitted by law, WATSNEX BioPharma shall not be liable for indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability is limited to the fees paid for the specific service giving rise to the claim.
9. Termination
Either party may terminate services with written notice as specified in the service agreement. Upon termination, you remain responsible for payment of services rendered. Certain provisions survive termination including confidentiality and intellectual property clauses.
10. Governing Law
These Terms are governed by the laws of Quebec, Canada. Any disputes shall be resolved in the courts of Quebec. If any provision is found unenforceable, the remaining provisions remain in effect.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes become effective upon posting. Your continued use of our services constitutes acceptance of modified terms.
